  Founding Partner, Kelley Allen, LLP 

Brien Kelley is a founding partner of Kelley Allen, LLP and a seasoned transactional attorney with more than 20 years of experience advising clients on complex commercial real estate and entertainment matters. He brings a distinctive blend of top-tier law firm training, senior in-house leadership, and industry insight, allowing him to deliver practical, business-driven legal counsel at the highest levels.

Most recently, Brien served as Managing Director and General Counsel of Tides Equities, where he was responsible for all legal matters across the company’s national real estate investment and operating platform. His relationship with Tides began in 2016, when he advised the company on its first multifamily acquisition. Over the course of that relationship, he served as the company’s primary legal counsel and played an integral role in its growth, helping to build a portfolio of more than 30,000 units across Arizona, Texas, California, and Nevada, representing up to $6.6 billion in real estate assets.

Prior to his in-house role, Brien was a Partner in the Real Estate Transactions Department at Sklar Kirsh LLP, one of Los Angeles’s premier boutique law firms. In private practice, he represented institutional investors, family offices, syndicators, developers, and operators in a broad range of sophisticated real estate transactions, including acquisitions and dispositions, financings, joint ventures, fund formation, preferred equity investments, and complex leasing matters. His earlier experience also includes transactional roles at Epport, Richman & Robbins LLP and Kulik Gottesman & Siegel LLP, where he further developed his expertise in complex deal structuring and negotiation.

In addition to his legal practice, Brien is actively engaged in the real estate industry and currently serves on the UCLA Luskin Real Estate Development Advisory Board, where he contributes industry insight to support academic and professional development in the real estate field.

Alongside his real estate work, Brien has decades of experience representing talent and creative professionals in entertainment and commercial transactions. He regularly advises on sponsorship and brand partnership agreements, podcast and content-related agreements, artist and talent contracts, hosting and appearance agreements, and location agreements. He brings a commercially focused, relationship-driven approach to creative deals, informed by a deep understanding of both the legal and business realities of the entertainment industry. Brien is married to acclaimed actress Jazsmin Lewis, which further informs his appreciation for the unique considerations faced by talent and creatives.

Brien holds a Bachelor of Arts in History from the University of California, Los Angeles (UCLA) and a Juris Doctor from the University of Southern California Gould School of Law. Outside of his practice, he enjoys spending time with his wife and son and traveling with his family.

Rahsaana Allen is a founding partner of Kelley Allen, LLP and a seasoned transactional attorney with more than 25 years of experience advising clients on complex commercial real estate and entertainment matters. She is known for combining rigorous legal analysis with practical business judgment, delivering sophisticated counsel aligned with executive priorities and long-term growth strategies.

Rahsaana began her legal career in the Corporate Transactions Practice Group at Gibson, Dunn & Crutcher LLP, an international law firm, where she received elite training in complex transactional matters. This foundation continues to inform her strategic, business-oriented approach to legal counsel.

Throughout her career, Rahsaana has served as General Counsel and senior legal advisor to high-growth companies across the hospitality, real estate, retail, and marketing and creative industries. She has represented startups, private equity-backed ventures, and Fortune 500 companies, including Hilton Hotels and Westfield Corporation, advising on high-stakes transactions and enterprise-level legal strategy. Over the course of her practice, she has successfully closed more than $20 billion in transactions, bringing deep experience in structuring, negotiating, and executing complex deals.

In the commercial real estate arena, Rahsaana advises on acquisitions, dispositions, financings, and other significant transactional matters, working closely with executive teams to balance legal risk with commercial opportunity. Her experience includes navigating sophisticated deal structures and supporting clients through critical growth and investment milestones.

Rahsaana also has substantial experience in the entertainment and creative industries, advising clients on a wide range of transactional matters that support brand partnerships, content creation, and talent engagement. Her work includes negotiating sponsorship and brand partnership agreements, podcast and content-related agreements, hosting and appearance agreements, and location agreements, with a focus on aligning legal protections with commercial and creative objectives.

Recognized for her pragmatic, business-focused counsel, Rahsaana is valued by clients for delivering clear, actionable legal solutions that support growth, innovation, and operational efficiency. Her experience establishing and managing legal departments, compliance programs, and governance structures allows her to serve as a trusted advisor to senior leadership teams navigating complex and evolving business environments.

Rahsaana earned her Bachelor of Arts from San Diego State University and her Juris Doctor from the University of California, Los Angeles School of Law, where she was a member of the UCLA Law Review. Outside of her practice, she enjoys spending time with her husband and three children and traveling, particularly to the Caribbean and Latin America.
